Please read these Terms of Service carefully. They form a legally binding agreement between you and Tech Intuitors. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

By accessing or using the Tech Intuitors website at techintuitors.com ("Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services. These Terms apply to all visitors, clients, and others who access or use the Site.
2. Services
Scope
Tech Intuitors provides custom software engineering services including but not limited to: web application development, mobile application development (React Native / cross-platform), AI integration and automation, SaaS product development, technical consulting, and UI/UX design. Specific deliverables, timelines, and payment terms for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
Changes to Services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice for material changes that affect active client engagements.
Subcontractors
Tech Intuitors may engage qualified subcontractors or third-party specialists to assist in delivering services. We remain responsible for the quality and confidentiality of work performed by such parties under our engagements.
3. Intellectual Property
Client Ownership of Deliverables
Upon receipt of full payment for an engagement, Tech Intuitors assigns to the client all right, title, and interest in the custom code, designs, and deliverables specifically created for that client under the applicable SOW. This assignment is confirmed in the project-specific agreement.
Tech Intuitors IP
We retain all rights to our pre-existing intellectual property, internal tools, frameworks, libraries, methodologies, and general know-how developed independently of any client engagement. If we incorporate our proprietary tools or open-source components into your deliverables, we grant you a perpetual, non-exclusive license to use them as part of the delivered work.
Website Content
All content on this Site — including text, graphics, logos, images, case studies, and code examples — is the property of Tech Intuitors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Open Source
Certain components used in client projects may be governed by open-source licenses (e.g., MIT, Apache 2.0). In such cases, the relevant open-source license terms apply and will be disclosed in the project documentation.
4. Client Responsibilities
Accurate Information
Clients are responsible for providing accurate, complete, and timely information required to deliver the agreed services. Delays caused by incomplete or inaccurate information provided by the client are not the responsibility of Tech Intuitors.
Feedback & Approvals
Clients are expected to review deliverables and provide feedback or approvals within the timeframes specified in the SOW. Unreasonable delays in approvals may affect project timelines and costs.
Third-Party Services
If the project requires access to or integration with third-party services (APIs, cloud accounts, etc.), the client is responsible for providing necessary credentials, licenses, and permissions.
Lawful Use
Clients warrant that they will use our deliverables and services only for lawful purposes and will not engage us to build software that violates applicable laws, infringes third-party rights, or facilitates illegal activity.
5. Payment Terms
Fees
Service fees are specified in the applicable SOW or project agreement. All fees are quoted in USD unless otherwise stated. Invoices are due within the period specified in the SOW (typically net 14 or net 30 days).
Late Payments
Late payments may be subject to a monthly late fee of 1.5% (or the maximum rate permitted by law, whichever is lower). Tech Intuitors reserves the right to pause or suspend active work on overdue accounts.
Refunds
Due to the custom nature of software development services, fees paid for work already completed are generally non-refundable. Refund terms for specific engagements, if any, are set out in the project agreement.
Taxes
Fees quoted are exclusive of applicable taxes. Clients are responsible for any applicable sales tax, VAT, withholding tax, or similar charges unless otherwise specified.
6. Confidentiality
Mutual Obligation
Both parties agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the engagement. This includes business plans, technical architecture, source code, pricing, and client data.
Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.
Duration
Confidentiality obligations remain in effect for 3 years following the conclusion of an engagement, unless a separate NDA specifies a different period.
7. Disclaimers & Warranties
Website "As Is"
The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Uptime Guarantee for Website
We do not guarantee that the Site will be available at all times, uninterrupted, or error-free. We reserve the right to modify, suspend, or discontinue the Site without notice.
Professional Services
Warranties applicable to delivered software projects are specified in the project-specific SOW. Unless otherwise agreed, deliverables are warranted to materially conform to agreed specifications for 30 days following delivery.
8. Limitation of Liability
Cap on Liability
To the fullest extent permitted by law, Tech Intuitors' total cumulative liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Tech Intuitors in the three (3) months preceding the event giving rise to the claim.
Exclusion of Consequential Damages
In no event shall Tech Intuitors be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunities — even if we have been advised of the possibility of such damages.
Exceptions
Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Tech Intuitors and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Site or our services; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.
10. Termination
By Either Party
Either party may terminate a service engagement by providing written notice as specified in the applicable SOW. Upon termination, the client shall pay for all work completed up to the termination date.
For Cause
Tech Intuitors may immediately terminate or suspend services if the client: breaches a material term of these Terms or the project agreement, engages in unlawful conduct, or fails to pay outstanding invoices after reasonable notice.
Effect of Termination
Sections relating to intellectual property, confidentiality, payment obligations, limitation of liability, and governing law shall survive any termination or expiration of these Terms.
11. Governing Law & Disputes
Governing Law
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, both parties agree to first attempt to resolve the dispute informally through good-faith negotiation for at least 30 days before pursuing formal legal action.
Arbitration
If informal negotiation fails, disputes shall be resolved through binding arbitration rather than in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
12. General Provisions
Entire Agreement
These Terms, together with any applicable SOW or project agreement, constitute the entire agreement between you and Tech Intuitors regarding the subject matter hereof and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Updates to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominent website notice. Continued use of our Site or services after changes take effect constitutes acceptance of the updated Terms.
